Legal Alliance Sponsors Pan-Ukrainian Mergers and Acquisitions Law Seminar

Pan-Ukrainian Mergers and Acquisitions Law Seminar, backed by Legal Alliance Law Firm as one of the partners, ran at Tauric Vernadsky National University (Crimea) on March 5 – 7, 2009.   

The event aimed to familiarise law students with theoretical and practical aspects of mergers and acquisitions activity becoming increasingly topical both worldwide and in the Ukrainian business context.

The seminar was attended by more than 30 students representing various Ukrainian universities.  

Formal opening of the seminar was hosted by deputy dean of Tauric University’s law department Sergei Yelkin and Legal Alliance managing director and partner Anatoly Menshikov.

Aleksei Zdorov, Legal Alliance counsel, presented an introductory lecture addressing theoretical fundamentals and legal framework of mergers and acquisitions.

Class by Legal Alliance partner Anatoly Menshikov covered tax effects of mergers and acquisitions.

The third class was hosted by Irina Razumovich, chief lecturer for economic law unit of Vernadsky University’s law department.  She dwelled on merger and acquisition categories distinguished by the law science and reviewed typical problems in the sphere of mergers and acquisitions, including forcible takeovers.  Subjects of the class stirred lively debate among the students who continued asking questions even after the class was formally over.  

At the end of the first day the attendees were offered to change the format and involve in a brain contest to demonstrate quality of knowledge developed during the day.  The students had an opportunity in a friendly and relaxed environment to demonstrate their understanding of regulatory base and ability to find quick answers to questions they were asked.  

The next day classes were delivered by managing partner of Spenser & Kauffman Valentin Zagaria and partner of Vashchenko, Bugai & Partners Denis Bugai.  Presenters looked into practical aspects of mergers and acquisitions and problems they personally experienced in working on actual merger deals.  They also gave the beginners some advice as to practical implementation of their knowledge in the field. 

In the evening the attendees helped themselves to a buffet accompanied by a variety of exciting contests.

The last day of the seminar featured a mock-up court debate over a given case theory.  Lively argument of students yielded a solution for this reality-approached task.

At the closing ceremony of the Pan-Ukrainian Mergers and Acquisitions Law Seminar all participants were presented attendance certificates.
